PRICES SHOWN ARE THOSE IN EFFECT AT TIME OF PUBLICATION AND ARE SUBJECT TO CHANGE WITHOUT NOTICE.

2. RESERVATION OF TITLE

1. Property in all goods remains with Bainbridge Technologies until payment is made in full and buyer agrees to hold the goods as bailee for Bainbridge Technologies.
2. Bainbridge Technologies may at any time terminate any contract relating to the goods and bailment without notice to the goods and the bailment without notice to the buyer and there upon take possession of the goods.
3. The buyer authorises Bainbridge Technologies by its servants or agents to enter any premises owned, leased or otherwise occupied by the buyer for the purpose of taking possession of the goods and authorises Bainbridge Technologies by its servants or agents to use all reasonable force to obtain such possession and,
4. if the goods are sold by the buyer, the buyer acknowledges that such sales are by the buyer as bailee for and on behalf of Bainbridge Technologies and agrees to hold the proceeds of sale on trust for seller until payment in full to Bainbridge Technologies for the goods.

3. CONDITIONS OF CREDIT

1. We reserved the right to specify Conditions of Credit.
2. Terms of Payment are strictly 30 days from date of statement issued.
3. To qualify for any allowable discounts that may be given on account or invoice, payment must be received in Bainbridge Technologies’ office by the due date as stipulated.
4. Accounts will be reviewed by Management every six (6) months with non- trading accounts being suspended.
5. Any account that becomes delinquent, ie. falls into the 45 day period will automatically be placed on a “Stop Supply” basis and have any allowable discounts withdrawn.
6. Interest at a rate of 2% per month may be charged on overdue amounts from the period due date until payment is made in full. Any dishonoured cheque payments attract a $15.00 charge to the buyers account.

4. GST

GST will be charged on all invoices. Except for Export of goods where notified.

5. RETURNS AND CREDIT CLAIMS

1. No credit claims will be recognised unless made within 14 days from Date of Invoice. Any goods returned for credit must be in original undamaged packaging.
2. No goods will be accepted for credit without prior arrangement and you must contact Bainbridge Technologies to obtain a Return Authorisation Number and instructions on freight arrangements.
3. All returns must be accompanied with a Return Authorisation Number, an Invoice Number, Date of Purchase and reason for return.
4. All freight on goods returned for credit must be prepaid or goods will not be accepted unless otherwise pre-arranged.
5. A RESTOCKING FEE OF 15% of the Invoice value will be charged for returns that are not justified.

6. FREIGHT AND DELIVERY

All prices are Free On Board ex Brisbane Warehouse. ALL Freight and Postage are payable by the Customer. Unless otherwise requested or advised the goods will be despatched “Freight/Postage Prepaid” (by method of transport as decided by the Management) and charged on the customer’s Invoice.

Bainbridge Technologies reserve the right to make partial deliveries against an order and separately to invoice the same for the appropriate proportional amount unless otherwise agreed in writing.

The customer shall inspect and evaluate the goods immediately upon delivery thereof and shall within seven days from such inspection give notice in writing to Bainbridge Technologies of any matter, fact, or circumstance by reason whereof customer may allege that the goods or any part of the same are not in accordance with the order. If the customer does not give any such notice within such time, the goods shall be for all purposes deemed to be in all respects in accordance with the order and the customer shall be bound to accept and to pay for the same accordingly and no action shall be maintained in respect of the goods.

7. BACK ORDERS

Goods unable to be supplied immediately will be placed on back order unless otherwise instructed. Goods will automatically be despatched when stock becomes available without further reference to the client and no credits for cancelled back orders will be considered.

8. CONTRACTS

We reserve the right to deal with Government Departments.

9. LIMITATION OF LIABILITY

1. Bainbridge Technologies does not accept liability for goods not manufactured by it.
2. The customer agrees, warrants, and represents that s/he has relied on his/her own skill, knowledge, and judgement in choosing and ordering the goods and assessing the suitability of the same for the intended purpose of the same and not on any advice, promise, representation or the like by Bainbridge Technologies, save as might be specifically set out herein.
3. Bainbridge Technologies shall not be liable in any respect for any goods or any part of the goods which is of a consumable or temporary nature or which has a low-rated service life.
4. Bainbridge Technologies shall not be liable in any respect in any case where any unauthorised repair or alteration or incorrect installation work has been performed by or through the customer.
5. No express or implied warranty by Bainbridge Technologies shall extend to the quality and/or suitability of equipment and/or material supplied by the customer nor to faulty or defective workmanship where work is not carried out by or through Bainbridge Technologies.
6. The customer agrees that Bainbridge Technologies shall not be liable for, and hereby releases Bainbridge Technologies against any and all claims, suits, demands, and the like against Bainbridge Technologies arising out of or in respect of the goods and/or the contract for their sale by Bainbridge Technologies to the customer and, without limiting the generality of the forgoing, loss of the use of the goods or of profits, loss of re-sale, loss of business arising by reason of defect, non-delivery, defective materials or workmanship, negligence or any act, matter, conduct, or thing done, permitted or omitted, or suffered by Bainbridge Technologies.
